Job Description

The Transaction Counsel will be directly involved in complex business transactions with responsibility for negotiating, writing, reviewing, summarizing, researching and executing a wide variety of agreements for companies and clients, including solar panel sales agreements, engineering, procurement and construction agreements, marketing agreements, commission and confidentiality agreements, labor contracts, IP licenses, and other general business contracts both domestically and internationally. The Transaction Counsel will provide senior management (US and Global) with effective legal advice on company strategies and their implementation, manage legal risks, and oversee the work of supporting internal and outside counsel. The Transaction Counsel of JinkoSolar (U.S.) Inc. will report to the General Counsel of JinkoSolar (U.S.) Inc. 


RESPONSIBILITIES:

• Provide continuing counsel and guidance on US legal matters and on legal implications of all transactional matters.

• Provide support on all major US business transactions for the marketing and selling of the company’s product in the U.S. market by drafting, reviewing and modifying documents and contracts.

• Coordinate with General Counsel to ensure compliance of all transactions with company policy, US laws and regulations.

• Work alongside employees in Strategic Business Units, Marketing, Brand Communication, Sales, Human Resources, Corporate Alliances and the International Divisions.

• Research unique legal issues impacting the company’s transactions by identifying applicable statutes, judicial decisions, and codes (e.g., mechanic’s liens, UCC statutes, construction statutes and regulations, dispute resolution, etc.).

• Keep abreast of US legislative changes that may affect transactions involving the company and its affiliates. 

• Identifation of transaction issues requiring outside counsel support, and management of such support for cost-effective results.  

• Provide day-to-day legal support for to the General Counsel on all legal issues affecting the company.


Qualifications

Qualifications:

• JD with Honors from accredited university required. Journal experience is a plus.

• Admission to any State Bar, Current Good Standing. (California Bar is preferred but not required.)

• 3-5 years of relevant law practice experience at a reputable U.S. law firm or equivalent.

• Experience drafting and negotiating complex commercial transactions is required.

• Experience in the construction industry and/or solar industry is a plus.

• Strong ethics and impeccable integrity.

• Excellent communication skills; ability to communicate effectively with a variety of contacts, including outside attorneys, senior management, and business associates.

• Fluent in English (Written/Oral).

• Travel as required.
