Job Description

We’re looking for a Director & Assistant General Counsel, Public Sector, to join Procore’s fast-growing Go-to-Market Legal (“GTML”) team within the Legal, Regulatory & Compliance (“LRC”) Department. In this role, you will be a member of the GTML leadership team and will lead our Public Sector legal practice by supporting Sales leadership and the Public Sector sales team in the buildout of a new U.S. federal business and expansion of our existing U.S. SLED business, advising stakeholders on relevant Public Sector laws, rules, regulations, and best practices, developing effective business and legal strategies, and expertly leading complex transactions with strategic Public Sector customers and partners. To succeed in this role, you'll need to show up as a leader, collaborator, deep subject matter expert and executive thought partner, and self-starter able to lead and drive multiple initiatives simultaneously and with a sense of urgency.

 

As Director & Assistant General Counsel, Public Sector, you’ll partner with Sales and other cross-functional teams, including Finance, Security, Product, Engineering, and the Proposals team, to rapidly grow and mature our Public Sector business, ensuring that we provide exceptional sales support and accelerate deal velocity in a rapidly evolving, fast-paced environment. Your passion for technology and deep knowledge of commercial SaaS contracts in the Public Sector vertical allows you to provide practical and solutions-oriented advice to your business partners, effectively calculate potential risks, manage workloads, and prioritize multiple business partner demands.

 

This position will report to our VP & Associate General Counsel, Go-to-Market. This role can be remote or based in one of Procore’s U.S.-based office locations. We’re looking for someone to join us immediately.

 

What You’ll Do:

  • Provide strategic, practical, and commercial advice to Sales and internal stakeholders across the Public Sector landscape, ranging from analyzing and negotiating complex transactions to advising on government contracts, staying informed and advising on regulatory requirements, developing business strategies, and balancing business objectives with legal risks by identifying, managing, and communicating risks and opportunities 

  • Work with colleagues in LRC, Product, and Security to understand product capabilities while ensuring that our Public Sector practices, timelines, and contractual terms align with and comply with corporate directives and government requirements (e.g., FedRAMP, CMMC, etc.)

  • Develop and deliver on ambitious OKRs aligned to Procore’s corporate strategic goals to ensure the GTML team’s continuous high impact on advancing the business

  • Use your considerable experience, knowledge of industry trends and best practices, and an innovative, pragmatic mindset to develop a best-in-class Public Sector legal support model, practices and strategies, shape business and legal terms and deal structures, and develop and refine internal SOPs, transaction processes and practices, and sales enablement content in order to achieve better business outcomes and improve transaction velocity without material increase in risk

  • Draft, review, and negotiate complex commercial and SaaS Public Sector sales agreements (e.g., MSAs, subscription service agreements, terms of use, commercial agreements, channel and partner agreements, data processing agreements, RFP bids, statements of work, order forms, regulatory attestations and certifications, and other commercial agreements) 

  • Develop, maintain, and continuously refine forms, playbooks, fallback guides, guidelines, research files, FAQs, policies, processes, procedures, and other tools essential to the efficient, scalable, and effective functioning of the Public Sector practice

  • Lead and manage dedicated Public Sector resources and effectively partner with outside counsel where needed to augment your team

  • Deliver training and education to the Public Sector sales team on a variety of relevant legal and sales enablement issues

 

 What We’re Looking For: 

  • 10+ years of progressively responsible experience leading SLED and Federal commercial transactions, with at least 5 years gained in an in-house legal department (preferably SaaS)
  • Must be admitted, active, and in good standing with the state bar in which the position is located, or with another state bar and registered, or eligible to register, as in-house counsel with the state bar in which the position is located

  • Experience advising Sales and Product functions in building a U.S. federal Public Sector business and in building and managing a federal and SLED Public Sector team 

  • Demonstrated deep knowledge of U.S. federal (including FedRAMP, CMMC, DFARS, etc.) and SLED procurement and security laws, rules, and regulations, and sufficient familiarity with and understanding of Public Sector requirements in other key jurisdictions

  • Extensive experience drafting, reviewing, and negotiating Public Sector-specific reseller, partner, GSI, and cooperative agreements, and flow-down provisions, and a deep understanding of the related channel and service partner sales and delivery motions

  • Deep understanding of SaaS business models, Public Sector sales motions, and commercial negotiation best practices, and familiarity with revenue recognition and related SaaS accounting standards, processes, systems, issues, and terminology

  • Demonstrated track record of motivating and influencing both internal and external stakeholders and success in executing in a fast-paced, rapidly growing global sales environment

  • Comfortable negotiating data privacy agreements, including a working knowledge of GDPR and CCPA as they relate to commercial contracts

  • Ability to simultaneously manage workloads, multiple client demands, and shifting priorities within a fast-paced, rapidly evolving environment

  • Strong desire to learn the business and to function integrally as part of an interdisciplinary team

  • High EQ, impeccable professional ethics, integrity, judgment, and demonstrated ability to handle highly confidential information

  • Able to operate autonomously while being a team player who brings a positive “can do” attitude to the workplace working collaboratively with other members of the LRC Department and with internal business partners

Additional Information

Base Pay Range $234,544 - $322,498. Eligible for Bonus Incentive Compensation. Procore is committed to offering competitive, fair, and commensurate compensation, and has provided an estimated pay range for this role. Actual compensation will be based on a candidate’s job-related skills, experience, education or training, and location.
